"The Expiration Deadline for the Offer was 16:00 hours (London time) on 21 May 2024. As atthe Expiration Deadline, EUR 137,170,000 in aggregate principal amount of the Notes had been validly tendered pursuant to the Offer.

Following the Expiration Deadline (subject to the satisfaction or waiver of the New Financing Condition), the Offeror hereby announces that it has decided to accept for purchase EUR 137,170,000 in aggregate principal amount of the Notes validly tendered pursuant to the Offer.

The Offeror expects the New Financing Condition to be satisfied on 24 May 2024.

AS LHV Group (the "Issuer") announces today its invitation to the holders of the outstanding notes set out in the table below (the "Notes") to tender any and all such Notes for purchase by the Issuer for cash subject to the satisfaction or waiver of the New Financing Condition (as defined below) and the other conditions described in the tender offer memorandum dated 14 May 2024 (such invitation, the "Offer") prepared by the Issuer. The Offer is subject to the offer and distribution restrictions set out below and as more fully described in the Tender Offer Memorandum.
