Credit Suisse International Announces Tender Offers for Certain Securities

"16 March 2023. Credit Suisse International (the Offeror) announces today separate invitations to holders of the outstanding securities described in the table below (together the Securities and each series of the Securities a Series) to tender such Securities for purchase by the Offeror for cash for aggregate consideration of up to the Offers Consideration Amount (as defined below) (each such invitation an Offer and, together, the Offers).

This announcement does not contain the full terms and conditions of the Offers which are contained in the tender offer memorandum dated 16 March 2023 (the Tender Offer Memorandum) prepared by the Offeror. The Offers are subject to the offer restrictions set out below and as more fully described in the Tender Offer Memorandum.

Holders of the Securities are advised to read carefully the Tender Offer Memorandum, copies of which are (subject to distribution restrictions) available from the Tender Agent as set out below. Capitalised terms used in this announcement but not defined have the meanings given to them in the Tender Offer Memorandum."


"Rationale for the Offers

The Offers are consistent with the Group’s proactive approach to managing overall liability composition and optimising interest expense and allow us to take advantage of current trading levels to repurchase debt at attractive prices."


"Offers Consideration Amount

If the Offeror decides to accept any Securities for purchase pursuant to the relevant Offer(s), it proposes to accept for purchase an aggregate principal amount of such Securities such that the total amount payable by the Offeror for all such Securities accepted for purchase pursuant to the relevant Offer(s) (excluding all Accrued Interest Payments in respect of such Securities) is no greater than €500,000,000 (although the Offeror reserves the right, in its sole discretion, to allocate a significantly lower or a significantly higher amount for the purchase of Securities pursuant to the relevant Offers(s), the final amount so allocated for the purchase of Securities being the Offers Consideration Amount).

The Offeror will determine the allocation of the Offers Consideration Amount between each Series in its sole discretion, and reserves the right to accept significantly more or significantly less (or none) of any Series as compared to any other Series (the aggregate principal amount of any Series accepted for purchase pursuant to the relevant Offer being a Series Acceptance Amount)."
