DME AIRPORT DAC - UPDATE ON COUPON PAYMENTS

"As previously announced, in early March 2023, Moscow Domodedovo Airport Group ("DME") arranged for the payments of coupon and principal amount under the 2023 Notes due on 15 February 2023 and coupon under the 2028 Notes due on 8 February 2023 (the "Payments") in the following manner:
• the Payments to the Noteholders holding relevant Notes through Russian nominee holders were made in Russian Rubles pursuant to the Direct Payment Option through NCO JSC National Settlement Depositary;
• the Payments to the Noteholders who hold relevant Notes through foreign clearing and settlement infrastructure and have duly elected for the payment to be made in accordance with the Direct Payment Option were made in Russian Rubles directly to such Noteholders;
• with regard to the remaining portion of the Payments, DME has arranged for it to be transferred to The Bank of New York Mellon, London Branch, as principal paying agent (the "Principal Paying Agent"), for onward distribution to the relevant Noteholders in accordance with the original terms of the Notes.
However, despite the above action having been taken by DME, the Payments received by the Principal Paying Agent have not been onward transferred to the relevant clearing systems as provided for by the Notes documentation and, as far as DME are aware, the relevant funds remain with the Principal Paying Agent to date. The Principal Paying Agent has further informed DME that it is not in a position to distribute the received Payments to the Noteholders until it receives confirmation from the relevant clearing systems that they are ready to process the Payments.
For the last two months, DME has actively engaged with the Principal Paying Agent, with the most recent interaction having taken place on 19 May 2023, in order to facilitate and accelerate the distribution of the Payments to the Noteholders. Amongst other things, DME offered the Principal Paying Agent the possibility of the Payments being returned to DME so it can make Payments through other means envisaged in the Notes documentation. However, DME was informed that the funds were not capable of being returned until the clearing systems confirmed their position with respect to the Payments.
In light of the above and given that DME has no control over the Principal Paying Agent, DME encourages Noteholders to contact the Principal Paying Agent and the relevant clearing systems directly with all questions and requests relating to the Payments.

"ANNOUNCEMENT ON EXTENSION OF DIRECT PAYMENT APPLICATIONS ACCEPTANCE
U.S.$300,000,000 5.075 per cent. Loan Participation Notes due 2023 (ISIN: XS1772800204) (the "2023 Notes"), and U.S.$453,000,000 5.35 per cent. Loan Participation Notes due 2028 (ISINs: XS2278534099; US23291QAA04) (the "2028 Notes", and together with the 2023 Notes, the "Notes"), each issued by, but with limited recourse to, DME Airport Designated Activity Company (the "Issuer") for the sole purpose of financing loans to Hacienda Investments Limited (the "Borrower"), such loans unconditionally and irrevocably and jointly and severally guaranteed by Airport Management Company Limited, DME Limited, DOMODEDOVO AIRFIELD Limited Liability Company, DOMODEDOVO COMMERCIAL SERVICES Limited Liability Company, DOMODEDOVO CATERING Limited Liability Company, DOMODEDOVO FUEL SERVICES Limited Liability Company, DOMODEDOVO PASSENGER TERMINAL Limited Liability Company, DOMODEDOVO FUEL FACILITIES Limited Liability Company and DOMODEDOVO AIRPORT HANDLING Limited Liability Company (together, the "Guarantors")
Reference is made to the announcement titled "Update on the Coupon Payments" dated 22 December 2022 available at: https://direct.euronext.com/api/PublicAnnouncements/RISDocument/Announcement.pdf?id=0e5f3274-98bf-445c-b153-d88e3244b6cd ("December 2022 Announcement"). Capitalised terms used but not defined herein shall have the meanings given to them in the December 2022 Announcement.
Further to the December 2022 Announcement, DME hereby announces that, to facilitate the receipt of the outstanding amounts of Deferred Coupons due to the Noteholders who held the Notes as of 16 November 2022 and who have not yet opted for the Direct Payment Option and have not received the amounts of Deferred Coupons and ensure that their rights are not prejudiced, DME is willing to extend the deadlines for exercising the Direct Payment Option as follows:
• the deadline for the delivery of photocopies of the Payment Documents shall be extended until 6:00 p.m. (Moscow time) on 28th February 2023;
• the deadline for the delivery of originals of the Payment Documents shall be extended until 6:00 p.m. (Moscow time) on 31th March 2023.
DME reminds the Noteholders that the Payment Documents to be provided are as follows:
1. Signed and completed Consent to the Direct Payment, the form of which is attached to the December 2022 Announcement;
2. Appropriate proof of holding of the Notes as of 16 November 2022.
The Payment Documents shall be delivered to Airport Management Company Limited at AndreyPolyukhov@dme.ru, KonstantinVolkov@dme.ru and AnnaKhrabrova@dme.ru (for the photocopies) and Airport Management Company Limited at 142015, territory of "Domodedovo Airport", building 8, city of Domodedovo, Moscow region, Russian Federation (for the originals).
The Issuer, the Borrower or any of the Guarantors, as applicable, will proceed with making payments of the respective amount of the Deferred Coupons in accordance with the Direct Payment Option, subject to all applicable laws, within 30 Business Days following the date when all Payment Documents, in the form and substance satisfactory to Airport Management Company Limited, are duly delivered thereto in photocopy form.
Questions and requests in connection with the payment of the Deferred Coupon should be directed to Airport Management Company."

"Moscow Domodedovo Airport Group ("DME") hereby announces that in late November-early December 2022 it arranged for the payment of coupon under the Notes originally due in August 2022 and deferred to 17 November 2022 (the "Deferred Coupons") in accordance with the New Payment Mechanics approved by the terms of the Extraordinary Resolutions adopted at the meetings of the Noteholders on 27 October 2022.
The payment of the Deferred Coupons to the Noteholders holding Notes through Russian nominee holders was made in Russian Rubles pursuant to the Direct Payment Option through NCO JSC National Settlement Depositary (the "Direct Payment Amount") and the remaining portion of the Deferred Coupons (the "Balance Amount") was transferred to The Bank of New York Mellon, London Branch, as principal paying agent (the "Principal Paying Agent"), for onward distribution to the Noteholders in accordance with the original terms of the Notes. In accordance with the New Payment Mechanics, the payment of the Direct Payment Amount and the Balance Amount in the manner set out above constitutes good discharge of the relevant payment obligations.
On 15 December 2022, without providing the details of the reasons therefor, the Principal Paying Agent returned the Balance Amount to DME, thereby refusing to make an onward distribution of the Balance Amount.
In light of the above, given the apparent inability of the Principal Paying Agent to distribute the Balance Amount, which is outside of DME’s control, to facilitate payments to the Noteholders, DME invites the Noteholders who have not received the Deferred Coupons to opt for the Direct Payment Option.
To exercise the Direct Payment Option, the Noteholders are encouraged to deliver the photocopies of the documents specified below to Airport Management Company Limited at AndreyPolyukhov@dme.ru, KonstantinVolkov@dme.ru and AnnaKhrabrova@dme.ru by 6:00 p.m. Moscow time on January 20th, 2023 and also deliver the original documents to Airport Management Company Limited at 142015, territory of "Domodedovo Airport", building 8, city of Domodedovo, Moscow region, Russian Federation by 6:00 p.m. Moscow time on February 3rd, 2023:
1. Signed and completed Consent to the Direct Payment, the form of which is attached as schedule hereto;
2. Appropriate proof of holding of the Notes as of 16 November 2022,
(the "Payment Documents").
The Issuer, the Borrower or any of the Guarantors, as applicable, will proceed with making payments of the respective amount of the Deferred Coupons in accordance with the Direct Payment Option, subject to all applicable laws, within 30 Business Days following the date when all Payment Documents, in the form and substance satisfactory to Airport Management Company Limited, are duly delivered thereto in photocopy form.
