"Cologne, 30 June 2023: The European Science Park Group (ESPG), a real estate company specialising in science parks, has decided to extend the current exchange period until 7 July 2023, 18:00 (CEST). Until this date, holders of the outstanding bond 2018/2023 (ISIN: DE000A2NBY22) can exchange their bonds at a ratio of 1 to 1 for the new bond 2023/2026 (ISIN: DE000A351VD7). In addition, ESPG has expanded the group of bondholders addressed. Thus, the public exchange offer is now not only addressed to investors who acquire securities for a minimum amount of 100,000 euros per investor, but also to qualified investors within the meaning of Article 2e of Regulation (EU) 2017/1129 of the European Parliament and of the Council of 14 June 2017 (EU Prospectus Regulation).


Exchange offers already submitted remain valid. Existing bondholders who wish to exchange their Bonds of the Bonds 2018/2023 may either submit binding exchange offers via their custodian bank within the exchange period using the form provided by the custodian bank or use the form provided on the ESPG website. This form must then be submitted to the bondholder’s respective custodian bank. The exchange agent is Quirin Privatbank AG, Berlin, Germany."

Exchange offer for 2018/2023 bonds well received

The exchange offer for the ESPG corporate bond 2018/2023 (ISIN DE000A2NBY22), which has been running since 12 June, has met with a positive initial response. The company has already received commitment and exercise declarations from bondholders for a nominal amount of more than 2 million euros. Among others, the management and current as well as former shareholders have opted for the exchange. However, the company had to realise that the communication and delivery of the exchange documents, among others to investors from abroad, sometimes takes longer than expected and that time is also needed on the investor side to assess the offer. In this context, ESPG would like to point out that the current ESPG bond with ISIN DE000A2NBY22 is still partly listed under “Diok Real Estate” in the master data of the custodian banks.

The management and the shareholders have offered their bonds in full for exchange and have thus continued to express their confidence in ESPG. The public exchange offer for holders of the 2018/2023 bond is expected to expire on 30 June 2023, while the new 2023/2026 bond will have a maturity of three years and will bear interest at 9.5 per cent per annum. Management will hold an investor call on Tuesday, 27 June 2023 at 3.00 p.m. with further information on the exchange offer. "Cologne, June 9, 2023. The executive board of ESPG AG ("ESPG AG" or the "Company"), with the approval of the supervisory board of ESPG AG, has decided to issue a new unsecured bond (ISIN: DE000A351VD7) with a volume of up to Euro 46.626 million, a denomination (nominal amount) of Euro 1,000.00 and a term of three years (bond 2023/2026). The bond bears interest at 9.50% p.a.


The offer for the new bond 2023/2026 will be made by way of a public exchange offer. Under the public exchange offer, holders of the outstanding bond 2018/2023 (ISIN: DE000A2NBY22) can exchange their bonds for the new bond 2023/2026 at a ratio of 1 to 1.


The public exchange offer is directed exclusively at investors who acquire securities for a minimum amount of Euro 100,000.00 per investor.


The public exchange offer, which is expected to be published on the Company's website at www.espg.space/investor_relations/ on June 12, 2023, will commence on June 13, 2023, and is expected to end on June 30, 2023, 6:00 p.m. (CEST) ("Exchange Period"). Like the 2018/2023 bond, the 2023/2026 bond is to be included in the Regulated Unofficial Market of the Frankfurt Stock Exchange."
