"NOTICE IS HEREBY GIVEN to the holders of the above Notes that, at the separate adjourned Meetings of such Noteholders convened by the Notice of Adjourned Meeting (the “Notice of Meeting”) dated 21 February 2023 and held on 8 March 2023, the relevant Extraordinary Resolution in respect of the Notes set out in the Notice of Meeting was duly passed without any amendment and the relevant Eligibility Condition was satisfied.

Capitalised or other terms used but not defined herein shall, unless the context otherwise requires, have the meanings set out in the Notice of Meeting.

Pursuant to the passing of the relevant Extraordinary Resolution in respect of the Notes, the implementation of the Proposed Amendments in respect of the Notes via the execution of the relevant Amended and Restated Pricing Supplement referred to in the relevant Extraordinary Resolution is expected to occur on 8 March 2023."

"NOTICE IS HEREBY GIVEN that (i) the Meetings of the Noteholders of each Series convened by the Issuer on 21 February 2023 (the “Initial Meetings”) by the Notice dated 30 January 2023 (the “Initial Notice”) as notified through the Euroclear and Clearstream to the Noteholders of each Series were adjourned as a result of the relevant quorum not having been met for the Initial Meetings; and (ii) the Initial Meetings are hereby adjourned to 8 March 2023 (the “Adjourned Meeting”) and will be held via teleconference on for the purpose of considering and, if thought fit, passing the applicable resolution (in respect of each Series, an “Extraordinary Resolution”) set out in Annex A to this Notice, with the implementation of that resolution being subject to satisfaction of the condition set out in paragraph 6(b) thereof (in respect of each Series, the “Eligibility Condition”) and which resolution will be proposed as an Extraordinary 2 Resolution in accordance with the provisions of the Agency Agreement dated 2 May 2018 (the “Agency Agreement”), made between the Issuer and Citibank, N.A., London Branch (the “Principal Paying Agent”)."

"Export-Import Bank of Thailand (the “Issuer”) announces today separate invitations to the eligible holders of its outstanding Notes of the relevant Series to consent to the modification of the terms and conditions (the “Conditions”) of the relevant Series such that (i) for each Interest Period commencing on or after the first Interest Payment Date immediately following 30 June 2023 (a) each Rate of Interest will be determined by reference to the Compounded Daily SOFR and not the 3-month USD London Inter Bank Offered Rate; (b) an adjustment will be made to reflect the economic difference between the LIBOR and SOFR rates; and (c) the Margin applicable to the relevant Series will remain unaltered; and (ii) new fallback provisions relating to SOFR (including fallback provisions in case a Benchmark Event occurs with respect to SOFR) are included, all as proposed by the Issuer for approval by an extraordinary resolution of the holders of the relevant Series (each an “Extraordinary Resolution” and each such invitation a “Consent Solicitation”)."
