(the "Company") announces that it is amending its previously announced consent solicitation (the "Consent Solicitation") with respect to certain proposed amendments to the Indenture governing the 2028 Notes. Holders of the 2028 Notes should refer to the Consent Solicitation Statement dated February 2, 2024 (the "Consent Solicitation Statement"), which includes the text of the proposed amendments attached thereto, all of which remain unchanged except as detailed below, and to the related press release dated on that same date. Capitalized terms used but not defined herein have the meanings given to them in the Consent Solicitation Statement.

ASUNCIÓN, Paraguay, Feb. 2, 2024 /PRNewswire/ -- Frigorífico Concepción S.A. (the "Company") hereby announces the commencement of its solicitation of consents (the "Consent Solicitation") to holders of its 7.700% Senior Secured Notes due 2028 for amendments to certain provisions of the Indenture governing the 2028 Notes, dated as of July 21, 2021 (the "Indenture"), among the Company, as Issuer, Frigorífico BFC S.A. (the "Bolivian Guarantor"), as Guarantor, The Bank of New York Mellon, as Trustee, Registrar and Paying Agent (the "Trustee"), and GLAS Americas LLC, as collateral agent (the "Collateral Agent").

The Consent Solicitation is being made on the terms and subject to the conditions contained in the Consent Solicitation Statement dated February 2, 2024 (the "Consent Solicitation Statement") prepared by the Company in connection with the Consent Solicitation and is subject to the solicitation and distribution restrictions set out below and as more fully described in the Consent Solicitation Statement.
