"Mersin Uluslararası Liman İşletmeciliği A.Ş. (the "Offeror") has today launched an offer to holders of its outstanding notes detailed below (the "Notes") to tender any and all such Notes for purchase by the Offeror for cash at the Purchase Price, on the terms and subject to the conditions described in the Tender Offer Memorandum dated 6 November 2023 (the "Tender Offer Memorandum"), including satisfaction or waiver of the New Financing Condition (as defined below) and the “Offer and Distribution Restrictions” below (such invitation, the "Offer").

Copies of the Tender Offer Memorandum are (subject to distribution restrictions) available from the Tender Agent as set out below. Noteholders are advised to read carefully the Tender Offer Memorandum for full details of, and information on the procedures for participating in, the Offer. Capitalised terms used in this announcement but not defined have the meanings given to them in the Tender Offer Memorandum.

The Offer will expire at 5:00 p.m. (New York City time) on 15 November 2023 (the "Expiration Deadline") unless extended, re-opened, withdrawn or terminated at the sole discretion of the Offeror as provided in the Tender Offer Memorandum. Tender Instructions, once submitted, may be withdrawn at any time prior to the Expiration Deadline, but not thereafter.
