(the "Company") herebyannounces a solicitation to Noteholders of its outstanding EUR 400,000,000 2.375% Fixed Rate Bearer Notes due 2025 (ISIN XS2212959352) (the "Notes"), to tender any and all of their Notes for repurchase by the Company for cash (the "Solicitation").

By tendering for the Notes, the Company intends to proactively manage its liability structure. The Solicitation seeks to

provide liquidity to Noteholders and to provide current holders of the Notes who are qualifying investors with the

opportunity to apply for priority in the allocation of the New Notes, as more fully described under the paragraph "Priority

Allocation of New Notes"."
