"Acceptance and Results

The Expiration Deadline for the Offer was 5.00 p.m. (CET) on 20 November 2023. As at the Expiration Deadline, the Offeror had received valid tenders of €133,294,000 in aggregate principal amount of the Notes for purchase pursuant to the Offer. The Offeror hereby announces that it intends to accept for purchase all Notes validly tendered pursuant to the Offer with no pro rata scaling.

The expected Settlement Date in respect of the Offer is 22 November 2023. Summary of the Results of the Offer

A summary of the results of the Offer appear below:

Following settlement of the Offer, €366,706,000 in aggregate principal amount of the Notes will remain outstanding."

"THE REPUBLIC OF ALBANIA

(acting through the Minister of Finance and Economy)

(the “Offeror”)

announces an invitation to the holders of its outstanding

€500,000,000 3.500% Notes due 2025 (the “Notes”)

to tender their Notes for purchase for cash,

subject to satisfaction or waiver of the conditions to the offer described in the tender offer memorandum dated 14 November 2023 (the “Tender Offer Memorandum” and, such invitation, the “Offer”)

Copies of the Tender Offer Memorandum are (subject to distribution restrictions (see “—Offer and Distribution Restrictions” below) available via the Offer website accessible at: https://deals.is.kroll.com/albania and, otherwise from the Tender Agent, as set out below. Capitalised terms used but not otherwise defined in this announcement shall have the meaning given to them in the Tender Offer Memorandum.
